POSITION DESCRIPTION
SAP NS2 is seeking a Corporate Counsel to support its growing portfolio of offerings to government and regulated commercial customers. This position will provide legal advice and analysis to the business in connection with government and commercial contracts and subcontracts, and will draft, negotiate, and review agreements on behalf of SAP NS2 with our commercial, federal, and state customers, resellers, and prime contractors. The candidate will report to our Deputy General Counsel headquartered in Herndon, Virginia.
Major Duties and Job Responsibilities:
- Draft, negotiate, and review a broad range of agreements with the primary focus on cloud services and Software-as-a-Service (SaaS), as well as commercial software license and support agreements and professional consulting services.
- Provide legal advice and guidance to the business on negotiating and securing commercial and federal, state, and/or local government contracts, including with respect to the submission of proposals, contract drafting and negotiation process.
- Review Requests for Proposal (RFPs) and assist in developing proposal responses to ensure compliance with company policies and applicable laws and regulations.
- Review contractual documents to ensure adherence to company policies and applicable laws and regulations, identify risk and areas of concern on contract terms and conditions based on interpretation of company policies and applicable laws and regulations, and develop alternative terms and conditions as part of the contract negotiation process.
- Provide legal and contractual advice, guidance, and recommendations to relevant stakeholders on complex issues.
- Coordinate with respective company resources to meet customer deadlines and expectations while maintaining a focus on the special aspects of selling commercial Software and Services and ensuring compliance with applicable laws and government regulations.
- Participate in special projects with the Legal/Contracts Department to develop, implement and enhance processes and policies.
Education and Qualifications:
- 4 to 8+ years’ experience in government and/or commercial contracts.
- JD from an ABA accredited law school and admission in Virginia (or another state bar, with ability to obtain a corporate counsel certificate to practice in Virginia).
- CPCM, CFCM, CCCM or similar certifications a plus.
- Knowledge of applicable regulations, including the Federal Acquisition Regulations and Defense Acquisition Regulations, and its supplements.
- Knowledge of cybersecurity, data privacy, intellectual property, ITAR, and sanctions issues preferred.
- Strong collaboration skills to provide timely support to internal business partners.
- Work independently while managing competing priorities and keeping management fully informed.
- Excellent verbal and written communication skills.
- Eligible to obtain a US government security clearance.

Compensation Range Transparency: SAP believes the value of pay transparency contributes towards an honest and supportive culture and is a significant step toward demonstrating SAP’s commitment to pay equity. SAP provides the annualized compensation range inclusive of base salary and variable incentive target for the career level applicable to the posted role. The targeted combined range for this position is $122,900-270,900 USD. The actual amount to be offered to the successful candidate will be within that range, dependent upon the key aspects of each case which may include education, skills, experience, scope of the role, location, etc. as determined through the selection process. Any SAP variable incentive includes a targeted dollar amount and any actual payout amount is dependent on company and personal performance.
